• "AI-Generated Content" means content, code, applications, or other outputs generated by the Service's artificial intelligence capabilities based on your inputs and instructions.

3. Eligibility and Account Registration

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features of the Service, you must create an Account. You agree to:

Simplita.ai provides a Visual AI Agentic Full Stack Builder that enables users to create AI agents, applications, automations, and websites through modular engines. The Service includes:

• Visual interface for application development
• AI-powered automation capabilities
• Code generation and export functionality
• Database management tools
• Deployment infrastructure
• Community sharing features

4.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription.

4.3 License Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Service
• Remove, alter, or obscure any proprietary notices
• Use the Service to develop competing products or services

• Pay all applicable subscription fees according to the billing schedule
• Provide current, complete, and accurate payment information
• Authorize us or our payment processors to charge your payment method
• Pay any applicable taxes (excluding taxes based on our net income)

5.4 Billing Cycle and Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee. We will provide reasonable notice of any fee increases.

5.5 Refund Policy

All subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel a paid subscription, you will retain access until the end of your current billing period.

5.6 Late Payments

Late payments may result in suspension or termination of Service access. We may charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Acceptable Use Policy

We reserve the right to investigate and take appropriate action against users who violate these Terms, including removing content, suspending or terminating Accounts, and cooperating with law enforcement authorities.

7. Intellectual Property Rights

7.1 Service Ownership

The Service and all Intellectual Property rights therein are owned by Simplita AI Technologies Private Limited and our licensors. These Terms do not grant you any ownership rights in the Service. All rights not expressly granted are reserved.

7.2 Trademarks

"Simplita.ai," the Simplita.ai logo, and related marks are trademarks of Simplita AI Technologies Private Limited. You may not use these marks without our prior written permission.

7.3 User Content Ownership

You retain all ownership rights in your User Content. You represent and warrant that you have all necessary rights to submit User Content to the Service.

7.4 License to User Content

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content solely to:

• Provide, maintain, and improve the Service
• Generate AI-Generated Content based on your inputs
• Comply with legal obligations
• Enforce these Terms

This license terminates when you delete your User Content or close your Account, except for Content shared with other users or required for legal compliance.

7.5 AI-Generated Content

Ownership of AI-Generated Content created using the Service is subject to the following:

• For Paid Users: You own the AI-Generated Content you create, subject to our ownership of underlying Service technology
• For Free Users: You receive a non-exclusive license to use AI-Generated Content you create
• Service Provider IP: Any pre-existing tools, algorithms, methodologies, or technology used by the Service remains our property

7.6 Code Export

When you export code from the Service, you receive the rights specified in your subscription plan. Exported code may contain third-party open-source components subject to their respective licenses.

7.7 Community Sharing

If you share your creations through the Service's community features, you grant other users the licenses necessary to use, remix, and build upon your shared work according to the permissions you specify.

8. User Responsibilities

8.1 Compliance

You are responsible for:

• Ensuring your use of the Service complies with all applicable laws
• Obtaining necessary consents for data you process through the Service
• Configuring appropriate security settings
• Maintaining backups of your User Content
• Reviewing applications before deployment
• Ensuring applications you create comply with applicable laws

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or correctness of results
• Uninterrupted or error-free operation
• Freedom from viruses or harmful components

11.2 AI-Generated Content Disclaimer

AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR INAPPROPRIATE MATERIAL. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, TESTING, AND VALIDATING ALL AI-GENERATED CONTENT BEFORE USE. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSES.

11.3 Third-Party Services

We do not warrant or support third-party services integrated with the Service. Your use of third-party services is at your own risk.

11.4 User Content

We do not endorse, support, represent, or guarantee the accuracy, completeness, or reliability of any User Content.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid to us in the twelve (12) months preceding the event giving rise to liability, or

12.2 Exclusion of Damages

YOU ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF AI-GENERATED CONTENT, INCLUDING CODE, APPLICATIONS, OR OTHER OUTPUTS.

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Simplita AI Technologies Private Limited, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your User Content or applications you create
• Your violation of any rights of third parties
• Your violation of applicable laws or regulations

13.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense and may not settle any matter without our prior written consent.

14. Term and Termination

14.1 Term

These Terms commence when you first access the Service and continue until terminated.

14.2 Termination by You

You may terminate your Account at any time by contacting hello@simplita.ai. Termination does not entitle you to refunds of prepaid fees.

14.3 Termination by Us

We may suspend or terminate your Account and access to the Service:

• For non-payment of fees
• For suspected fraudulent or illegal activity
• If required by law or legal process
• At our discretion with thirty (30) days' notice

14.4 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your Account and User Content after a reasonable period
• You remain liable for all fees incurred before termination
• Sections that by their nature should survive termination will continue to apply

14.5 Data Export

Before termination, you may export your User Content using available export features. We are not obligated to retain your data after termination.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Jurisdiction

Subject to the arbitration provisions below, you agree to submit to the exclusive jurisdiction of the courts located in Villupuram, Tamil Nadu, India.

15.3 Informal Dispute Resolution

Before initiating formal proceedings, you agree to contact us at hello@simplita.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for thirty (30) days.

15.4 Arbitration Agreement

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the Indian Council of Arbitration in accordance with its Arbitration Rules. Arbitration shall take place in Chennai, Tamil Nadu, India.

Arbitration Terms:

• The arbitration shall be conducted by a single arbitrator
• The language of arbitration shall be English
• Each party shall bear its own costs unless the arbitrator determines otherwise
• The arbitrator's decision shall be final and binding

15.5 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

15.6 Injunctive Relief

Notwithstanding the arbitration provisions, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

16. Intellectual Property Infringement

We respect intellectual property rights and respond to notices of alleged copyright infringement under applicable laws.

16.2 Infringement Notification

If you believe Content on the Service infringes your copyright, submit a notice to hello@simplita.ai containing:

• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information (address, phone, email)
• A statement of good faith belief that use is not authorized
• A statement under penalty of perjury that the information is accurate and you are authorized to act

16.3 Counter-Notification

If your Content was removed due to an infringement claim you believe was erroneous, you may submit a counter-notification.

16.4 Repeat Infringer Policy

We will terminate Accounts of users who repeatedly infringe intellectual property rights.

17. Modifications to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on the Service
• Sending email notification to your registered email address
• Displaying a notification when you log in

17.2 Effective Date of Changes

Modified Terms become effective thirty (30) days after notice is provided, or immediately for changes required by law.

17.3 Acceptance of Modified Terms

18. General Provisions
